Template license

Every template ships with this license as LICENSE.md. In short: one license covers one person or company and unlimited end products, but you can't resell the template itself or publish its source.

This license is an agreement between you and Jared Jewitt, doing business as Chewypixel, of British Columbia, Canada ("Chewypixel", "we", "us") covering the Chewypixel template you bought. By downloading, copying or using the Template, you agree to these terms. If you don't agree, don't use the Template.

1. Definitions

  • Template: the source code, styles, graphics, sample data and documentation in this download, and any updates we provide to it, excluding Third-Party Components.
  • You: the individual, or the single company or organization, that bought this license. If a company or organization bought it, "you" includes its employees and contractors while they work on its behalf.
  • End Product: a website, web application or other software built with the Template that adds substantial functionality or content of its own, and whose users can't access or extract the Template's source code. A SaaS product, an internal tool, a client's website and an admin panel are all examples.
  • Third-Party Components: the open-source code, data and packages described in THIRD-PARTY-NOTICES.md and the packages installed from package.json.

2. What you can do

Once you've paid for the Template, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to:

  1. Use and modify the Template to create an unlimited number of End Products, for yourself or for clients, commercial or not.
  2. Sell, rent or otherwise distribute those End Products, for example by charging the users of your SaaS product or delivering a finished site to a client.
  3. Keep the Template in private source repositories and share it with the people building End Products with you, who may use it only for that work.
  4. Use AI coding tools to help you build your End Products with the Template.

3. Client work

You may build End Products for clients and hand them over. Your client may use, modify and maintain the End Product they receive. To use the Template in any other product, they need their own license.

4. What you can't do

  1. Redistribute, resell, sublicense, rent or share the Template, or any part of it, modified or not, on its own or bundled with other things, except inside an End Product as allowed above.
  2. Use the Template to make a template, theme, UI kit, component library, starter kit, boilerplate, design system, website builder or any similar product, free or paid, that lets others build their own products with the Template's code or design.
  3. Publish the Template's source code in a public repository, or anywhere else people who don't hold a license can get it.
  4. Use the Template, or let it be used, to train or fine-tune machine learning models that generate templates, themes or UI components.
  5. Remove or change the copyright notices in the Template, or claim you created it.
  6. Transfer this license to anyone else.

5. Ownership

The Template is licensed, not sold. All intellectual property rights in it remain with Chewypixel. What you add to it, and the End Products you build with it, are yours.

6. Updates and support

Updates we provide for the Template are covered by this license. We don't promise any particular updates or support.

7. Third-party components

Third-Party Components are licensed by their authors under their own terms, mostly the MIT License. This license doesn't restrict any rights those licenses give you. The people, companies and figures in the sample data are made up. Brand names and logos, such as those on the sign-in buttons, belong to their owners.

8. Termination

This license ends automatically if you break its terms. When it ends, you must stop using the Template and delete your copies of it. People who already use End Products you shipped before then may keep using them.

9. No warranty

THE TEMPLATE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE TEMPLATE OR THIS LICENSE. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THIS LICENSE.

11. Everything else

If a part of this license can't be enforced, the rest still applies. If you need to use the Template in a way this license doesn't allow, contact Chewypixel at hello@chewypixel.io before you do.

This license is governed by the laws of British Columbia and the federal laws of Canada that apply there, and the courts of British Columbia have jurisdiction over any dispute about it.
